International capital market
An important component of the financial market, which has increased in importance in recent decades, is the international capital market.
The international capital market manifests itself as a group of interconnected markets on a global scale, in which capital in financial (monetary) form is provided and borrowed, to which is added the purchase of stocks and bonds on the foreign market. or issued by a company from another country, the opening of a new subsidiary or company in another country, the acquisition or merger with a foreign company, participation with capital in the creation of a joint venture, and so on.
The structure of the international capital market includes the primary market, which manages securities issued by trading companies, banking institutions, governments, etc., seeking funds for financing, and the secondary market (stock exchanges), which negotiates the issue of securities. Previously, the courses determined the supply and demand of securities, the interest rate, the conjuncture of the national and global economy, etc.
The term "foreign investment" usually refers to the process of placing capital in industry, agriculture, trade, etc. in order to make a profit. In a broad sense, investments consist in the placement of funds by individuals or legal entities for the creation or acquisition of fixed assets, as well as for the purchase of securities that exchanges can engage in, including speculative transactions.
Foreign investments are considered investments made by private companies or individuals in countries other than those with capital. Their main forms are: portfolio investments (through which they buy securities on the international capital markets, organized and regulated, which imply not direct participation in the management of issuing companies, but profit from dividends and a favorable difference between the sale and purchase price) and direct investments (consisting of financial, material and human costs incurred for the acquisition or creation of new fixed and current assets, or modernization of existing ones, in order to obtain later liquidity flows, respectively increasing assets owned by individuals or legal entities). Direct investments involve the participation of investors in the management of the company. The forms of foreign direct investment are:
building new companies abroad in any field of activity;
opening branches abroad of existing companies;
acquisition of foreign companies;
mergers with foreign companies;
participation with capital in the creation of joint ventures.
New foreign investments (new investments) bring financial and material resources to the country in which they are carried out, through which production facilities and new jobs are created. The acquisition of foreign companies and the merger with some foreign companies does not add new production facilities or new jobs, but transfers ownership from within abroad with the subsequent reorganization of companies, which can lead to layoffs, as well as to increase the efficiency of enterprises that are made. Mergers and acquisitions of companies abroad are often accompanied by consistent investments by new owners, who increase production and productivity in the countries in which it is produced.
